Acting on behalf of the company INFRADATA POLSKA Spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw, its office address: Puławska 537 St., 02-844 Warsaw, registered in the register of entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw, 13th Business Division of the National Court Register under KRS No. 0000406699, („INFRADATA POLSKA Sp. z o.o.”), we hereby inform that on January 31, 2020 District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register issued a decision on the merger of INFRADATA POLSKA Sp. z o.o. with the company DIM SYSTEM Limited liability company with its registered office in Warsaw its office address: Puławska 537 St., 02-884 Warsaw, registered in the register of entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw, 13th Business Division of the National Court Register under KRS No. 0000414673, („DIM SYSTEM Sp. z o.o.”).
The merger was based on art. 492 § 1 point 1 of the Commercial Companies Code by transferring all assets of DIM SYSTEM Sp. z o.o. to the company INFRADATA POLSKA Sp. z o.o. ("Merger by acquisition").
In connection with the above, pursuant to art. 494 § 1 of the Commercial Companies Code, as of the date of merger, i.e. January 31, 2020, INFRADATA POLSKA Sp. o.o entered into all rights and obligations of DIM SYSTEM Sp. z o.o. The above means that from the abovementioned on the day of merger INFRADATA POLSKA Sp. z o.o. in particular, it became a party to the contracts concluded by DIM SYSTEM Sp. z o.o., without the need to conclude new contracts or annexes. All contracts and other obligations concluded by DIM SYSTEM Sp. z o.o. will be implemented by INFRADATA POLSKA Sp. z o.o.
In addition, we would like to inform you that from January 31, 2020 all documents, including accounting and financial ones, should be issued and delivered to INFRADATA POLSKA Sp. z o.o., according to the data presented below:
